1. Agreement to Terms

By accessing and using ShotUGC ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

ShotUGC is an AI UGC video generator for e-commerce sellers. The Service provides:

  • AI-powered UGC video ad generation from product images, scripts, or text prompts
  • A library of synthetic AI actors with multi-region, multi-style options
  • Native voiceover generation in 8 languages with lip-synced delivery
  • Multi-shot video rendering with automatic edits (close-up, medium, and wide cuts)
  • Script generation tools tuned to proven UGC ad formats (Hook + Body + CTA)
  • Export of finished videos in formats suitable for TikTok, Meta, Amazon, and other ad platforms

3. User Accounts

3.1 Account Creation

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You must be at least 13 years old to create an account

3.2 Account Responsibilities

  • You are responsible for all activities under your account
  • You must notify us immediately of any unauthorized use
  • We reserve the right to suspend or terminate accounts for violations

4. Acceptable Use

4.1 Prohibited Content

You are strictly prohibited from using the Service to create, generate, or process any content that:

  • Contains pornographic, sexually explicit, or adult content: Any material that is pornographic, sexually explicit, or intended for adult entertainment purposes is strictly forbidden
  • Involves or depicts minors in illegal content: Any content featuring, depicting, or involving individuals under the age of 18 (or the age of majority in your jurisdiction) in any illegal, harmful, or inappropriate manner is absolutely prohibited.
  • Contains violent, hateful, or extremist content: Any material that promotes, glorifies, or incites violence, hatred, discrimination, or terrorism against any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic is strictly prohibited.
  • Uses real, identifiable individuals without consent: You may not use the Service to create, modify, or generate content featuring real, identifiable persons without their explicit written consent. This includes but is not limited to:
    • Using images or videos of real people as source material for AI actors or voice cloning
    • Creating deepfakes or manipulated content of real individuals (including public figures, influencers, customers, or employees)
    • Generating content that could reasonably identify a real person
  • Advertises restricted categories: Generating UGC ads for firearms or weapons, regulated drugs, tobacco or vaping products, gambling, adult products, political messaging or campaigning, multi-level-marketing schemes, miracle-cure health claims, or any product category prohibited by the ad platforms you intend to publish to (including TikTok Shop, Meta, Amazon, and Google) is not permitted.
  • Misleads consumers: Fabricating specific testimonials, fake user reviews, before/after results, scientific claims, or endorsements presented as if they came from real customers is prohibited.
  • Infringes third-party rights: Using product imagery, trademarks, music, scripts, or brand assets you do not own or have permission to use is prohibited.

Violation of these prohibitions will result in immediate account termination, forfeiture of unused credits, and may be reported to law enforcement authorities and the affected ad platforms.

4.2 General Prohibitions

You agree not to:

  • Use the service for any illegal purpose
  • Share account credentials with others
  • Attempt to gain unauthorized access
  • Upload malicious content or code
  • Interfere with the proper working of the service
  • Copy or distribute content without permission

4.3 Fair Usage and Account Integrity

  • The service is intended for individual creative use. Automated, scripted, or bulk access (including scraping, crawling, or use of bots) is prohibited
  • You may not resell, redistribute, or commercially exploit the service or its outputs without our prior written consent
  • Free credits (including sign-up credits, promotional credits, and any other complimentary allowances) are granted only once per user. Each individual is permitted to maintain a single account
  • Creating, operating, or controlling multiple accounts — including through the use of different email addresses, phone numbers, devices, IP addresses, or identities — for the purpose of obtaining additional free credits, artificially inflating usage, or otherwise circumventing limits, promotions, or referral systems is strictly prohibited
  • We employ automated and manual methods (including device fingerprinting, IP analysis, and behavioral signals) to detect duplicate, abusive, or fraudulent accounts
  • We reserve the right, at our sole discretion, to throttle, limit, suspend, or terminate access; to refuse, adjust, or reclaim free credits; to forfeit purchased credits and generated outputs; and to deny refunds where usage is excessive, abusive, or otherwise inconsistent with these Terms

5. Intellectual Property

5.1 Our Property

  • All content, features, and functionality are owned by ShotUGC
  • Our trademarks and trade dress may not be used without permission

5.2 User Content

  • You retain ownership of the product imagery, scripts, brand assets, and other inputs you submit
  • You grant us a limited license to host, process, and transform your inputs solely for the purpose of generating and delivering the videos you request
  • We do not use your inputs or generated outputs to train AI models
  • We may remove any content at our discretion if it violates these Terms

5.3 Generated Videos and AI Actors

  • Videos generated through the Service are yours to use, including for commercial purposes such as paid ads, organic social posts, marketplace listings, and DTC storefronts, subject to your compliance with these Terms and the prohibited-content rules in Section 4.1
  • AI actors offered on the platform are synthetic likenesses licensed for use within ShotUGC; you may not extract, redistribute, or sublicense the AI actors themselves outside of the videos you generate
  • You are responsible for ensuring that the ad copy, product claims, and overall creative comply with the laws and policies of the markets and platforms in which you publish

6. Payment, Credits, and Subscription Terms

6.1 Subscriptions and Credits

  • The Service operates on a credit-based model; rendering UGC videos consumes credits based on duration, resolution, and the underlying model selected
  • Free credits (including sign-up bonuses) are granted once per user and may not be transferred or resold
  • Paid credits and active subscriptions do not expire while your account remains in good standing
  • Prices, plan tiers, and credit costs may change with prior notice; changes do not affect previously purchased, unused credits
  • You may cancel a subscription at any time; cancellation stops future renewals but does not entitle you to a refund of the current billing period unless our refund policy provides otherwise

6.2 Payment Processing

  • Payments are processed securely through authorized providers (Stripe, LemonSqueezy, Chargebee, and PayPal)
  • You agree to provide accurate billing information and authorize recurring charges for subscription plans
  • Failed payments may result in suspension of access to paid features until the balance is settled

7. Disclaimers

7.1 Service Availability

  • We strive for 24/7 availability but don't guarantee it
  • We may modify or discontinue features without notice
  • Service may be interrupted for maintenance

7.2 Accuracy of AI-Generated Output

  • AI-generated UGC videos are produced by probabilistic models; quality, lip-sync precision, accent fidelity, and visual consistency may vary between renders
  • The Service does not guarantee any particular advertising performance, click-through rate, conversion rate, or platform approval outcome
  • You are solely responsible for reviewing each generated video, verifying product claims, and confirming compliance with the policies of the platforms on which you publish
  • The Service is intended for creating UGC-style marketing creative; it is not a substitute for legal, medical, financial, or regulatory advice

8. Limitation of Liability

  • We are not liable for indirect, incidental, or consequential damages
  • Our liability is limited to the amount paid for the service
  • Some jurisdictions may not allow liability limitations

9. Indemnification

You agree to indemnify and hold harmless ShotUGC from any claims resulting from:

  • Your use of the service
  • Your violation of these terms
  • Your violation of any rights of another

10. Changes to Terms

  • We may modify these terms at any time
  • Changes will be effective immediately upon posting
  • Continued use constitutes acceptance of changes

11. Termination

  • We may terminate or suspend access without prior notice
  • All provisions of the Terms survive termination
  • We are not liable to you or any third party for termination

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Delaware, without regard to its conflict of law provisions.

13. Dispute Resolution

  • Disputes will be resolved through arbitration
  • Arbitration will be conducted in Delaware
  • Small claims court is an alternative for eligible disputes

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.
